The Board of Directors is responsible for running Ausglass and manging its finances. Ausglass is a non-profit limited company under Australian company law. The Board is elected by the members at an Annual General Meeting, but there is provision for the Board to co-opt a Director until the next AGM if there is a vacancy. The Constitution provides for a maximum of twelve directors.
At the beginning of 2009, the Board consisted of eleven directors. During the year Richard Whiteley, Michelle Kaucic and Lee Mathers resigned, and late in the year Marcus Dillon also resigned. The Board co-opted Ebony Addinsall who is the Secretary to the Board, and Marian Schoen as a director providing business expertise. Both these co-opted directors were elected to the Board in their own right at the 2010 AGM. The 2010 AGM also saw the retirement of Treasurer Damian Connellan and Charles Higgins through the expiry of their terms.
In choosing Directors, the Board seeks to balance geographical representation, areas of glass practice, and functional skills such as financial expertise, communications skills, etc. Most of the members of the Board are assigned a portfolio of duties which they are expected to manage and report back to the Board.The first meeting of a new Board in each year is usually the occasion for the allocation of portfolios.
The Board meets every month via electronic conferencing, and occasionally in a face-to-face mode. Recently the Board has moved to two face-to-face meetings per year, as these are much more useful for planning, discussion and decision making.
